E.C.H.O Terms of Service

These Terms of Service ("Terms") govern your access to and use of the E.C.H.O platform, website, andrelated services (collectively, the "Service") operated by Adam Aerospace Corp ("E.C.H.O/STRIKE," "we,""us," or "our"). By creating an account or accessing or using the Service, you agree to be bound by theseTerms. If you are accepting these Terms on behalf of a company or other legal entity, you represent andwarrant that you have the authority to bind that entity to these Terms, in which case "you" and"Customer" refer to that entity.If you do not agree to these Terms, do not access or use the Service.1. Overview of the ServiceThe Service is a mobile platform that provides communication tools online and on local area networks.2. EligibilityYou must be at least 18 years of age to use the Service. By registering for an account, you represent thatyou meet this requirement. The Service is not directed to individuals under 18.3. Account RegistraJon and Security3.1. To access the Service, you must register for an account by providing a valid email address and anyother information requested during the registration process. You agree to provide accurate, current,and complete information and to update such information as necessary.3.2. You are responsible for maintaining the confidentiality of your account credentials and for allactivity that occurs under your account. You agree to notify Adam Aerospace immediately atjeremy@adamaerocorp.com of any unauthorized use of your account or any other breach of security.3.3. Accounts are for individual use. Each user must have a separate account. You may not share youraccount credentials with any other person.4. SubscripJon and Payment4.1. Fees. Access to the Service requires a paid subscription. The applicable fees are set forth on theE.C.H.O website or in a separate Order Form executed between you and E.C.H.O. If you and E.C.H.Ohave executed an Order Form, the terms of the Order Form will control to the extent of any conflict withthese Terms.4.2. Billing. Subscription fees are billed monthly in advance via our third-party payment processor(currently Stripe). By subscribing, you authorize E.C.H.O and its payment processor to charge thepayment method on file for all applicable fees.4.3. Taxes. All fees are exclusive of taxes. You are responsible for all applicable taxes, excluding taxesbased on E.C.H.O net income.4.4. Cancellation. You may cancel your subscription at any time through your account settings or bycontacting jeremy@adamaerocorp.com Cancellation will take effect at the end of your current billingperiod. No refunds or credits will be issued for partial billing periods.4.5. Changes to Fees. E.C.H.O may change subscription fees upon 30 days' prior written notice (email toyour registered address constitutes written notice). Continued use of the Service after the effective dateof a fee change constitutes your acceptance of the new fees. If you do not agree to the revised fees, youmay cancel your subscription before the change takes effect.5. License Grant and RestricJons5.1. License. Subject to your compliance with these Terms and payment of all applicable fees, E.C.H.Ogrants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access anduse the Service during your subscription term solely for your internal business or personal research andanalysis purposes.5.2. Restrictions. You will not, and will not permit any third party to:(a) copy, modify, adapt, translate, reverse engineer, decompile, or disassemble any portion of theService or its underlying technology;(b) access or use the Service to build a competitive product or service, or to benchmark the Serviceagainst a competing product or service;(c) use any robot, spider, scraper, or other automated means to access the Service or extract data fromthe Service, except as expressly permitted by E.C.H.O in writing;(d) resell, sublicense, distribute, or otherwise make the Service available to any third party;(e) remove, obscure, or alter any proprietary notices, labels, or marks on the Service;(f) use the Service in any manner that violates applicable law or regulation; or(g) use the Service to transmit any content that is unlawful, harmful, threatening, abusive, defamatory,or otherwise objectionable.6. User Conduct and Feedback6.1. Prohibited Submissions. You agree not to submit, upload, or transmit through the Service (includingthrough any feedback feature) any material non-public information ("MNPI"), personally identifiableinformation of third parties, or any other sensitive, confidential, or regulated information. E.C.H.O doesnot ingest or knowingly process MNPI. You are solely responsible for ensuring that your use of theService complies with all applicable securities laws, regulations, and internal compliance policies.6.2. Feedback. If you provide E.C.H.O with suggestions, ideas, enhancement requests,recommendations, or other feedback regarding the Service ("Feedback"), you grant E.C.H.O a non-exclusive, worldwide, royalty-free, irrevocable, perpetual license to use, reproduce, modify, andincorporate such Feedback into the Service and E.C.H.O's other products and services without restrictionor obligation to you. This license does not extend to your confidential business information or yourproprietary data.7. Intellectual Property7.1. E.C.H.O IP. E.C.H.O and its licensors retain all right, title, and interest in and to the Service, includingall software, algorithms, models, data, content, and all related intellectual property rights. These Termsdo not convey to you any ownership interest in or to the Service.7.2. Output. The analytical outputs generated by the Service ("Output") are provided for informationalpurposes only. E.C.H.O retains all rights in the Service's underlying technology, models, andmethodologies used to generate Output. You may use Output solely for your internal research andanalysis purposes in accordance with these Terms.7.3. Third-Party Data. The Service incorporates data from third-party sources. Your use of such data issubject to the terms and restrictions imposed by those third-party data providers. You agree not toredistribute, republish, or commercially exploit third-party data obtained through the Service except asexpressly permitted.8. Data PracJces8.1. Minimal Data Collection. E.C.H.O collects limited information from users, consisting primarily ofaccount information (e.g., email address), payment information processed by our third-party paymentprocessor, and usage data (e.g., feature interactions and session data). E.C.H.O does not collect, ingest,or store your proprietary research, portfolio data, or investment positions.8.2. Data Use. E.C.H.O may use aggregated and de-identified usage data to improve and develop theService. Such aggregated data will not identify you or any individual user.8.3. Privacy. E.C.H.O's collection and use of personal data is governed by the E.C.H.O Privacy Policyavailable at Adamaerospace.com which is incorporated into these Terms by reference.9. Third-Party ServicesThe Service utilizes third-party service providers, cloud infrastructure providers (e.g., Amazon WebServices), technology development partners, and payment processors (e.g., Stripe). E.C.H.O isresponsible for the performance of the Service as a whole. E.C.H.O does not share your personal datawith these providers except as necessary to operate the Service and as described in the Privacy Policy.10. Disclaimers10.1. No Investment Advice. THE SERVICE IS A RESEARCH AND ANALYTICAL TOOL ONLY. NOTHING INTHE SERVICE CONSTITUTES INVESTMENT ADVICE, A RECOMMENDATION TO BUY OR SELL ANY SECURITY,OR A SOLICITATION OF ANY KIND. E.C.H.O IS NOT A REGISTERED INVESTMENT ADVISER, BROKER-DEALER, OR FINANCIAL PLANNER. YOU ARE SOLELY RESPONSIBLE FOR YOUR OWN INVESTMENTDECISIONS AND SHOULD CONSULT A QUALIFIED FINANCIAL PROFESSIONAL BEFORE MAKING ANYINVESTMENT. E.C.H.O DOES NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANYINFORMATION OR OUTPUT PROVIDED THROUGH THE SERVICE.10.2. As-Is. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANYKIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY,FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. E.C.H.O DOES NOT WARRANTTHAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BECORRECTED.11. LimitaJon of Liability11.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL E.C.H.O OR ITSAFFILIATES, OFFICERS, DIRECTORS, MEMBERS, MANAGERS, EMPLOYEES, AGENTS, LICENSORS, ORSERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, ORPUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISINGOUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OFLIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF E.C.H.O HAS BEEN ADVISED OFTHE POSSIBILITY OF SUCH DAMAGES.11.2. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, E.C.H.O'S TOTAL AGGREGATELIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE TOTALFEES PAID BY YOU TO E.C.H.O IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENTGIVING RISE TO THE CLAIM.11.3. THE LIMITATIONS IN THIS SECTION 11 APPLY REGARDLESS OF WHETHER THE LIMITED REMEDIESSPECIFIED HEREIN FAIL OF THEIR ESSENTIAL PURPOSE.12. IndemnificaJonYou agree to indemnify, defend, and hold harmless E.C.H.O and its affiliates, officers, directors,members, managers, employees, and agents from and against any and all claims, losses, liabilities,damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) youruse of the Service; (b) your breach of these Terms; (c) your violation of any applicable law or regulation;or (d) any investment or financial decision made by you in connection with information obtainedthrough the Service.13. Term and TerminaJon13.1. Term. These Terms are effective upon your acceptance and continue for as long as you maintainan active account or subscription.13.2. Termination by You. You may terminate these Terms at any time by canceling your subscriptionand closing your account.13.3. Termination by E.C.H.O. E.C.H.O may suspend or terminate your access to the Service at any time,with or without cause, upon notice to you. If E.C.H.O terminates your access without cause, E.C.H.O willprovide a pro-rata refund of any prepaid fees for the unused portion of your subscription term. IfE.C.H.O terminates your access due to your breach of these Terms, no refund will be issued.13.4. Effect of Termination. Upon termination, your right to access and use the Service will ceaseimmediately. Sections 6.2, 7, 10, 11, 12, 14, and 15 will survive termination.14. Dispute ResoluJon14.1. Governing Law. These Terms are governed by and construed in accordance with the laws of theState of Delaware, without regard to its conflict-of-laws principles.14.2. Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or theService will be resolved by binding arbitration administered by the American Arbitration Association("AAA") under its then-current Commercial Arbitration Rules. The arbitration will be conducted by asingle arbitrator and will take place in Wilmington, Delaware, or at another mutually agreed location.The arbitrator's decision will be final and binding, and judgment on the award may be entered in anycourt of competent jurisdiction.14.3. Exceptions. Notwithstanding the foregoing, either party may seek injunctive or other equitablerelief in any court of competent jurisdiction to prevent the actual or threatened infringement,misappropriation, or violation of intellectual property rights. Claims within the jurisdiction of a smallclaims court may also be brought in such court.14.4. Waiver of Class Actions. YOU AND E.C.H.O AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGSWILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, ORREPRESENTATIVE ACTION.14.5 To the fullest extent permitted by applicable law, any claim arising out of or related to these Termsor the Service must be commenced within one (1) year after the cause of action accrues. Any claim notbrought within this period is permanently barred.15. General Provisions15.1. Entire Agreement. These Terms, together with the Privacy Policy and any applicable Order Form,constitute the entire agreement between you and E.C.H.O with respect to the Service and supersede allprior or contemporaneous agreements, understandings, and communications, whether written or oral.15.2. Amendments. E.C.H.O may modify these Terms at any time by posting the revised version on theE.C.H.O website with an updated "Last Updated" date. Material changes will be communicated via emailto your registered address at least 10 days before they take effect. Your continued use of the Serviceafter the effective date of any modification constitutes your acceptance of the modified Terms.15.3. Assignment. You may not assign or transfer these Terms or any rights hereunder without E.C.H.O'sprior written consent. E.C.H.O may assign these Terms without restriction, including in connection witha merger, acquisition, or sale of all or substantially all of its assets.15.4. Severability. If any provision of these Terms is held to be invalid or unenforceable, that provisionwill be modified to the minimum extent necessary to make it enforceable, and the remaining provisionswill continue in full force and effect.15.5. Waiver. The failure of either party to enforce any right or provision of these Terms will notconstitute a waiver of that right or provision.15.6. Notices. E.C.H.O may provide notices to you via email to the address associated with your account.You may provide notices to E.C.H.O at jeremy@adamaerocorp.com15.7. Force Majeure. E.C.H.O will not be liable for any failure or delay in performing its obligations underthese Terms due to causes beyond its reasonable control, including natural disasters, acts ofgovernment, internet or telecommunications failures, or third-party service provider outages.15.8. Independent Contractors. The relationship between you and E.C.H.O is that of independentcontractors. Nothing in these Terms creates a partnership, joint venture, agency, or employmentrelationship.

E.C.H.O stores all prompts and data in its own databases and transmits queriesto OpenAI as needed. We do not transmit your personal account information to OpenAI;• Technology Development: Iron Forge, which provides front-end and back-enddevelopment and data warehouse services;• Payment Processing: Stripe, which processes subscription payments; and• Other service providers as necessary to operate the Service.• Legal Requirements.
